1. Acceptance of Terms
By accessing or using the 5STAN B2B website (the 'Site') and submitting sourcing requests, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must discontinue use of the Site immediately.
2. Catalog and Product Information
All product data, pricing, specifications, and availability displayed on the Site are provided for sourcing reference purposes only. They do not constitute a binding offer of sale. Final pricing, availability, and product specifications are confirmed exclusively during the quotation process. We make every effort to ensure catalog accuracy but cannot guarantee that all listed information is current at all times.
3. Orders and Contract Formation
Submitting a request for quotation (RFQ), an inquiry, or any other form of product interest does not constitute a binding sales contract. A legally binding agreement is formed only when both parties have confirmed, in writing (including by electronic means), the price, terms, shipping arrangements, and any other conditions applicable to the transaction.
4. Pricing and Payment
All payments are due in full before shipment. We accept bank transfer (T/T) and USDT (cryptocurrency). Orders are processed only after payment confirmation has been received. Quoted prices are valid for 7 calendar days from the date of quotation, subject to market fluctuations that may necessitate revision.
5. Minimum Order Quantity
The standard minimum order quantity (MOQ) is one carton per SKU. Mixed orders comprising products from different categories are accepted. The final applicable MOQ for each order is confirmed during the quotation process and may vary depending on the products selected.
6. Shipping and Delivery
We offer DDP (Delivered Duty Paid) delivery. A single all-inclusive price covers export documentation, customs clearance, import duties and taxes, and final delivery to the address provided by the buyer. Risk of loss or damage to goods passes to the buyer upon delivery to the carrier. Delivery timelines are estimates and not guaranteed; we are not liable for delays caused by customs, carriers, or force majeure events.
7. Samples
Product samples are available upon request prior to bulk ordering. The buyer bears the cost of the sample and associated shipping. If the buyer subsequently places a qualifying bulk order, the sample cost will be deducted from the total invoice amount.
8. Returns and Defects
Returns are accepted exclusively for manufacturing defects. Requests must be submitted within 7 calendar days of receipt and must be accompanied by clear photographic or video evidence demonstrating the defect. We reserve the right to reject return requests that do not meet these criteria. Returns are not accepted for change of mind, commercial disputes, or discrepancies attributable to the buyer.
9. Limitation of Liability
To the maximum extent permitted by applicable law, 5STAN B2B and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising out of or in connection with the use of the Site or the procurement of products through our service. Our total liability shall not exceed the total amount paid by the buyer for the specific transaction giving rise to the claim.
10. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws applicable to the jurisdiction in which 5STAN B2B operates. Any disputes arising under these terms shall first be resolved through good-faith negotiation between the parties.
11. Amendments
We reserve the right to modify or update these Terms of Service at any time without prior notice. Changes take effect immediately upon posting on the Site. Continued use of the Site after any modification constitutes acceptance of the revised terms. We encourage users to review this page periodically.
